adesso AG merges with BOV AG

Essen/Dortmund, 17 March 2006- The adesso AG based in Dortmund and BOV AG agreed on a concept to the merger of both companies. The BOV AG based in Essen is a quoted IT service provider with a service portfolio similar to adesso and the additional focal points host-application and integration. The merged group will be called adesso AG, its head quarter will be Dortmund and its offices are located in Berlin, Essen, Frankfurt, Munich, Cologne and Zurich. Thus the "new adesso AG" becomes a quoted company with over 350 employees and a turnover of 37 million euro across the group.

In 2006 the group will increase turnover again significantly and get more and more important at the market of IT services. The new offices in Germany and Switzerland enlarge the communications network to the customer and intensify the on site support. Rüdiger Striemer, member of the board, adesso AG: "In our view both companies match very well. We are convinced, that the merger benefits our market position and the international name recognition."

Source of growth are current target markets like financial services, the assurance, lotteries and government as well as the profitable product business of both companies. Togehther with the topics host applications and integration adesso completes the range of software products and services for insurers and other financial service providers. In addition the topics identity und access management are key technologies, which complement the portfolio of portal development up to a full service portal provision.

In line with the mergence a capital increase of BOV without cash additional payment of adesso AG onto the BOV AG and a following renaiming into adesso AG is intended. The merger furthermore requires the consent of the general meeting of both companies. The respective supervisory board already agreed to the merger.
